MSMENXT Terms of Use

1. Contracting entity and acceptance

These Terms are between Zertical Private Limited and the customer company identified in the order, subscription or invoice. Each individual user must be authorised by that company. Checking the sign-in acceptance and using MSMENXT creates an electronic record of agreement to the current legal bundle.

2. Subscription and authorised use

The customer receives the modules, login places, AI allowance and subscription period purchased. Logins are personal, must not be shared and permit one active browser session at a time. The customer must keep credentials secure, use the service lawfully, have authority to supply the records it uploads, and verify material figures against original records.

3. Fees, cancellation and refunds

Fees are payable as stated in the applicable order or invoice. A refund request must be delivered to Zertical Private Limited within 72 hours after payment or service activation, whichever occurs later. After that period, fees are non-refundable and unused time or AI allowance has no cash value, except for duplicate billing, failure to activate the purchased service, an express written commitment, or a remedy that applicable law does not permit the parties to exclude. Taxes, bank charges and third-party charges are handled as stated in the invoice or written order.

4. AI, reports and integrations

MSMENXT provides evidence-based decision support. AI wording may be incomplete and may be replaced by verified engine narration. Reports do not replace accounting, tax, legal, investment, employment or other professional advice. MSMENXT does not move money, file a return, approve credit, contact a counterparty, write to an ERP or take another external action unless a separately contracted integration expressly provides that action with appropriate approval controls.

5. Availability, support and changes

Maintenance, network conditions, provider incidents, usage limits or malformed source records may affect availability. The normal support response target is one business day and is not a guaranteed resolution time. Material legal changes receive a new version and require renewed acceptance. Product features may change provided the contracted service is not materially reduced during a paid period without an appropriate remedy.

6. Confidentiality and data protection

Each party must protect the other's non-public information. The Data Processing Addendum, Privacy Policy, Subprocessor Register and Security, Retention and Deletion commitments form part of these Terms.

7. Intellectual property and prohibited conduct

The customer retains its rights in the records it supplies. Zertical Private Limited retains all rights in MSMENXT and its non-public software, designs, workflows, prompts, calculations, scoring methods, decision rules, documentation and trade secrets.

Except where applicable law does not permit the restriction, a user must not reverse engineer, decompile, disassemble or attempt to discover MSMENXT source code, prompts, formulas, thresholds, scoring weights, model instructions, database design or other non-public implementation details; use automated scraping, probing or extraction to copy the interface or protected outputs; bypass access, usage or security controls; or use access to build, train or assist a substantially similar or competing service. Ordinary use of customer-visible reports and exports for the customer's internal business purposes remains permitted.

8. Suspension and termination

Zertical Private Limited may suspend access to protect data or systems, comply with law, respond to non-payment or stop misuse. The customer may export data before cancellation while access remains active. Workspace reset retains accounts; complete-account deletion uses a separate typed confirmation and one-day safety period.

9. Liability

To the maximum extent permitted by applicable law, neither party is liable for indirect, special, incidental, punitive or consequential loss, or for lost profits, revenue, goodwill or opportunity. Zertical Private Limited's aggregate contractual liability arising from the affected service month is limited to the fees actually paid by the customer for that month. This cap does not limit a liability or statutory remedy that cannot lawfully be excluded or limited, and does not excuse payment obligations or deliberate misuse of the other party's confidential information.

10. Governing law, Ahmedabad jurisdiction and order of precedence

These Terms are governed by the laws of India. Zertical Private Limited has its registered office in Ahmedabad, Gujarat. Subject to any forum, remedy or jurisdiction that applicable law does not permit the parties to exclude, the courts of competent jurisdiction at Ahmedabad, Gujarat, India shall have exclusive jurisdiction over every dispute, claim or proceeding arising out of or relating to MSMENXT, these Terms, any subscription, invoice or order, or the parties' commercial relationship. Each party irrevocably submits to those courts. A signed order or agreement prevails over these online Terms only for the clause it expressly replaces; the DPA controls for personal-data processing.
